TERMS OF TRADE
for Robyn Skeates Office Interiors Ltd.
(herein referred to as RSOI)
1. Applicability
a) These conditions shall apply to all contracts involving supply of goods by RSOI.
b) No person acting or purporting to act on behalf of RSOI shall have authority to waive or change these conditions orally, and any waives or changes have effect only if made in writing and signed on RSOI’s behalf.
2. Prices
a) The stated prices (whether listed, quoted or tendered) do not include GST or any other taxes, insurance or freight unless otherwise stated.
b) The prices listed are based upon rates and conditions ruling at the date of supply unless otherwise specified in writing and orders are accepted on the understanding that they are charged at the prices ruling at the time of delivery.
c) All prices quoted on the website are subject to change without notice
d) Prices quoted in the Quickship section do include standard freight charges
e) Currency of transaction is New Zealand dollars only
3. Payment Terms
Individual Payment Terms will be found on the Sale & Purchase Agreement, Tax Invoice or Delivery Docket; otherwise
a) Payment is due in full by the 20th of the month following the month of invoice.
b) If default is made in payment by the due date RSOI may (without prejudice to any other rights it has pursuant to these conditions or by law) withdraw any previously agreed discounts or special terms, and also may charge simple interest of 2 % per month (plus GST) from 30 days after the date payment became due until the date RSOI receives payment in full. Payments received after the due date will be applied firstly to the portion representing interest and secondly to the portion representing purchase.
c) “Payment” means the receipt by RSOI of cleared funds.
d) Quickship items from the Ecommerce section of the website require payment in full prior to dispatch
4. Ownership / Right of Repossession
The Customer hereby acknowledges that the goods supplied by RSOI shall remain the property of RSOI until RSOI receives payment for the same.
In the event of the Customer defaulting in any of these terms of this Agreement, the Customer hereby irrevocably gives RSOI or its representatives, servants, agents or employees leave and licence, at any time after the purchase of the goods have become due and has not been paid, and without the necessity of giving any notice, to enter on and into any premises occupied by the customer to search for and remove any goods supplied to or in which RSOI has ownership as aforesaid without in any way being liable to the Customer or any person or Company claiming through the Customer.
5. Insurance Risk
The risk with any goods supplied by RSOI to the Customer shall pass when such goods are signed for:
a) Upon delivery to the Customer
b) Delivered into the custody of a third party on the Customers behalf
c) Delivered to the Customer by a supplier of RSOI
d) At the point of collection by the Customer, such as at the point of sale or from RSOI premises
The Customer will insure the goods for their full replacement value for the benefit of RSOI until ownership of the goods has passed to the buyer.
6. Claims
a) Since methods and conditions of application use are beyond RSOI’s control, any liability whatsoever which RSOI may have under any implied or express statutory or other representation, warranty, condition or term made in connection with or applying in respect of the quality, state, condition, fitness or properties of any goods supplied by RSOI is limited to the goods on credit or payment of a price at the option of RSOI. In particular it does not extend to consequential loss and is conditional upon the buyer making a written claim to RSOI within a reasonable time of delivery and returning to RSOI a sufficient part of the goods to enable proper examination and testing.
b) No return of goods will be accepted by RSOI nor claims recognized unless the packing slip number is quoted. Return of goods will not be accepted unless the return is agreed by RSOI beforehand, nor if the return is made more than 7 days after the receipt of goods. Damage in transit on returned goods is at buyer’s risk.
7. Indemnity for Special Products
Products supplied specifically to Customer requirements are not returnable.
a) The Customer warrants that any design or instruction it requests RSOI to follow will not cause RSOI to infringe any patient, registered design, trademark, copyright or any other intellectual or industrial right.
b) Where RSOI follows any design or instruction given by the Customer in 7 (a), the Customer will indemnify RSOI against any damages, penalties, costs and expenses for which RSOI may become liable.
8. Cancellations and Amendments
RSOI reserves the right not to accept any cancellation of a furniture order by the buyer once a deposit has been received. Furniture orders are produced specifically to individual customers requirements and are processed immediately by RSOI to their manufacturers for production. In some cases, it may be possible to make an amendment to an order if manufacturing has not commenced, but this will be on a case by case basis.
9. Delivery
For Quickship items in stock, please allow 3-5 working days for North Island delivery and 4-6 working days for South Island deliveries (some larger deliveries to the South Island may take longer). Goods will be dispatched after payment has been received or an approved Robyn Skeates Office Interiors credit account has been charged. Please ensure the product is in good condition when received. We will not accept claims for damage if the freight docket is signed accepting that the product/s are in good condition on delivery. If a product is damaged on delivery, please do not take receipt of that product and notify Robyn Skeates Office Interiors immediately on 09 444-9000.
10. Refund Policy
At Robyn Skeates Office Interiors we pride ourselves in providing quality products and services. Please ensure that the correct product is selected for your requirements when placing your order. If you require professional assistance to select the correct product/s, please call us on 09 444-9000 or email us at sales@officeinteriors.co.nz. Returns will only be accepted if the product does not meet the manufacturer's guarantee, as specified for each product. In these instances the product will either be repaired or replaced at Robyn Skeates Office Interiors option. Refunds will not be processed unless prior agreement has been reached with RSOI. Returns of standard products only, must be made within 7 days of delivery. Prior to returning goods, the customer must contact RSOI either by phone, fax or email, explaining the reason for the return and upon approval will be given a Return Authorisation number. This number must be quoted with the returned goods. Return freight is to be prepaid by the customer.
11. Privacy Policy
We are committed to providing our clients and customers with secure browsing and a private shopping experience. Your privacy is very important to us. Accordingly, we have developed this policy in order for you to understand how we collect, use, communicate and disclose and make use of personal information. The following outlines our privacy policy:
a) Use of your information : RSOI will NEVER share, sell or rent your personal information to third parties. We will only release account and other personal information if we believe release is appropriate to comply with law; facilitate court proceedings; enforce or apply our terms and conditions; or protect the rights, property, or safety of RSOI, our users, or others.
b) Credit Card Security : We work diligently to protect the security of your personal information, including credit card information. Your credit card details do not get processed or transmitted through or via RSOI website; all transactions are processed through a secure payment service provider. RSOI use Direct Payment Solutions (DPS) to provide this service. DPS hosts and manages the payment page. All transaction sessions are stored and processed in encrypted strings. Your credit card details are not held by RSOI and cannot be accessed by RSOI. However they may be held by Direct Payment Solutions (DPS) (review their Privacy Policy).
c) Email : It is the policy of RSOI to send our clients emails throughout the purchasing process and other newsletter emails they elect to receive. Further, it is our policy to immediately remove any client from any mailing list upon the member's request. We do use email as a means of receiving feedback from our clients, and we encourage you to email us with your questions or comments
